1. Definitions
"Company" means SJF Group Ltd. INCLUDING ALL DIVISIONS WITHIN
"Customer" means the person, company, organisation, or entity purchasing goods and/or services from the Company.
"Works" means all services provided by the Company, including but not limited to electrical installations, fire alarm systems, emergency lighting, CCTV systems, access control systems, intruder alarms, automatic gates, barriers, bollards, maintenance, repairs, servicing, and inspections.
"Contract" means the agreement between the Company and the Customer incorporating these Terms and Conditions.
2. Acceptance of Terms
By accepting a quotation, issuing a purchase order, instructing the Company to commence work, or allowing works to proceed, the Customer agrees to be bound by these Terms and Conditions.
3. Quotations
All quotations remain valid for 30 days unless otherwise stated.
Quotations are based upon information provided by the Customer and any site survey undertaken at the time of quotation.
The Company reserves the right to revise quotations where unforeseen circumstances, site conditions, specification changes, or additional works arise.
Any items not specifically included within the quotation shall be deemed excluded.
4. Variations and Additional Works
Any variation requested by the Customer after acceptance of the quotation may result in additional charges.
Additional works required due to unforeseen site conditions, hidden services, structural issues, or changes to statutory requirements shall be chargeable in addition to the original contract sum.
Verbal instructions may be accepted and charged accordingly.
5. Payment Terms

The Company reserves the right to suspend works or maintenance services where invoices remain unpaid.
6. Ownership of Goods
All goods supplied remain the property of the Company until paid for in full.
The Company reserves the right to enter premises and recover unpaid goods where legally permitted.
7. Access and Site Conditions
The Customer shall provide:
Delays caused by restricted access, third parties, weather conditions, or site issues may incur additional costs.
8. Health and Safety
The Company operates in accordance with current Health & Safety legislation.
Customers must inform the Company of any site-specific hazards before works commence.
The Company reserves the right to cease work where unsafe conditions exist.
9. Electrical Works
Electrical works shall be carried out in accordance with the current edition of BS 7671 and applicable regulations.
Existing installations are not guaranteed to comply with current regulations.
Any defects identified during works may require remedial works at additional cost.
Electrical Installation Certificates, Minor Works Certificates, or relevant certification will be issued where applicable.
10. Fire Alarm and Emergency Lighting Systems
Fire alarm systems shall be installed in accordance with the relevant British Standards where specified.
The Customer remains responsible for ensuring systems are suitable for their risk assessment and insurance requirements.
Regular maintenance is essential and remains the responsibility of the Customer.
The Company accepts no liability for losses resulting from failure to maintain systems.
11. Security Systems
The Company does not guarantee that any security system will prevent theft, intrusion, criminal activity, or property damage.
Customers must maintain adequate insurance cover at all times.
Monitoring services supplied by third parties remain subject to the terms and conditions of those providers.
12. Automated Gates, Barriers and Bollards
Automated equipment must be serviced at intervals recommended by the manufacturer and applicable standards.
Failure to maintain equipment may invalidate warranties.
The Company reserves the right to refuse repairs where equipment is deemed unsafe.
The Customer must ensure users are properly trained in the operation of automated systems.
13. Maintenance and Service Contracts
Maintenance contracts provide inspections and servicing as detailed within the specific agreement.
Maintenance contracts do not include repairs, replacement parts, vandalism, misuse, accidental damage, acts of nature, or third-party damage unless expressly stated.
Emergency call-outs may be chargeable.
14. Warranties
Installation workmanship is warranted for 12 months from completion unless otherwise stated.
Automatic bollards, barriers, gates, and automation equipment may carry extended warranties of up to 48 months subject to:
Warranty claims must be reported promptly.
The warranty does not cover consumables, batteries, lamps, accidental damage, or third-party interference.
15. Delays and Force Majeure
The Company shall not be liable for delays caused by:

16. Customer Property
Whilst reasonable care will be taken, the Company accepts no responsibility for pre-existing defects or concealed services.
The Customer is responsible for protecting valuable items and sensitive equipment.
17. Limitation of Liability
To the maximum extent permitted by law, the Company's liability shall be limited to the value of the contract.
The Company shall not be liable for:

18. Insurance
The Company maintains appropriate Public Liability and Employers' Liability Insurance.
Copies of insurance certificates are available upon request.
19. Cancellation
Orders cancelled after materials have been ordered may incur charges.
Custom-manufactured products are generally non-refundable.
Where applicable, consumer cancellation rights remain unaffected.
20. Dispute Resolution
Both parties shall attempt to resolve disputes amicably before commencing legal proceedings.
21. Data Protection
The Company processes personal information in accordance with applicable Data Protection legislation.
Information may be used for contract administration, service delivery, invoicing, and legal compliance.
22. Governing Law
These Terms and Conditions shall be governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
23. Entire Agreement
These Terms and Conditions, together with the accepted quotation and any written variations, constitute the entire agreement between the parties.
24. EMERGENCY CALL-OUT SERVICES
24.1 Emergency call-out services are available subject to engineer availability.
24.2 Emergency attendance times are targets only and are not guaranteed.
24.3 Emergency call-outs may be charged at enhanced rates including:

24.5 Temporary repairs may be undertaken where permanent repairs cannot be completed during the initial visit.
24.6 Replacement parts are chargeable unless covered by a valid maintenance agreement.
24.7 The Company shall not be liable for losses arising from delayed attendance due to circumstances beyond its control.
25. PLANNED PREVENTATIVE MAINTENANCE (PPM)
25.1 Maintenance visits shall be undertaken at intervals agreed within the maintenance contract.
25.2 Maintenance agreements include only the services specifically detailed within the contract.
25.3 Maintenance agreements do not include:

25.5 Failure to permit scheduled maintenance visits may invalidate warranties.
25.6 Missed appointments caused by the Customer may be chargeable.
26. FIRE ALARM MAINTENANCE TERMS
26.1 Fire alarm servicing shall be carried out in accordance with BS 5839 where applicable.
26.2 The Customer remains responsible for:

26.4 Recommendations identified during inspections should be actioned promptly by the Customer.
26.5 The Company accepts no responsibility for failures resulting from unaddressed recommendations.

27. EMERGENCY LIGHTING MAINTENANCE
27.1 Emergency lighting inspections shall be conducted in accordance with applicable British Standards where specified.
27.2 Batteries and lamps are considered consumable items and may be chargeable.
27.3 Full discharge tests may reveal failures not detectable during routine inspections.
27.4 The Customer remains responsible for ensuring emergency escape routes remain unobstructed.
28. CCTV SYSTEMS
28.1 CCTV systems are designed to assist security management but cannot guarantee prevention of crime.
28.2 Recording quality may be affected by:
28.3 The Customer remains responsible for GDPR compliance relating to CCTV usage.
28.4 The Company accepts no responsibility for footage retention periods unless specifically contracted.
28.5 Cloud-based services remain subject to third-party provider terms and availability.
29. INTRUDER ALARM SYSTEMS
29.1 Alarm systems reduce risk but do not guarantee prevention of theft or intrusion.
29.2 Alarm signalling services remain subject to network availability.
29.3 The Customer must immediately report faults.
29.4 Batteries, fuses and consumables may not be covered under maintenance agreements.
29.5 User training remains the Customer's responsibility after handover.
1. DEFINITIONS
1.1 “the Seller” means SJF UK GROUP LTD
1.2 “the Buyer” means the person, firm or company with whom this contract is made.
1.3 “the Contract Goods” means the goods subject of the contract between the Seller and the Buyer.
1.4 “the Price” means the price payable for the Contract Goods.
1.5 “the Site” is the property on which the Buyer has indicated the Contract Goods are to be installed.
1.6 “Hard Dig” is defined as an excessive requirement use of mechanical equipment to excavate solid materials such as concrete, asphalt and hard core. (uncommon ground)
2. TERMS OF PAYMENT
2.1 Save where the Seller has otherwise agreed in writing, payment is to be made in full and within 28 days of completion of the installation and satisfactory commissioning of the Contract Goods, confirmed by the handover of the keys, or 28 days from the time of delivery of the Contract Goods (in the case of supply only), whichever is the sooner.
2.2 The Seller reserves the right to charge daily interest at a rate of 3% above the base rate of HSBC Bank Plc. on all amounts overdue.
2.3 All title in the Contract Goods shall remain vested in the Seller until all money due to the Seller from the Buyer has been paid in full.
3. PRICING
3.1 The prices quoted by the Seller are those ruling on the date of quotation. In the event of alterations in the supply and labour costs to the Seller, the Seller may pass on such increase to the Buyer provided that the Buyer is notified in writing at least fourteen days prior to the execution of the Contract. Following such notification, the Buyer may withdraw from the Contract by giving written notice within seven days of the date of notification. In the absence of such cancellation, the Buyer shall be deemed to have accepted the revised Price.
3.2 If any quotation by the Seller expressly states that the Price is fixed for a specified period, then the Price is exempt from any increase during such period.
3.3 Prices are subject to correction in the event of errors or omissions.
3.4 Unless expressly stated otherwise, all Prices are exclusive of Value Added Tax which will be charged at the due rate applicable on the day of invoicing.
3.5 In the event of the Site surface being of “vibrated concrete”, or having reinforcing rods or mesh, there will be a surcharge of £70 per hour for additional digging time. If the Site conditions necessitate a Hard Dig of more than 10 inches (250 mm), the Seller shall charge a surcharge of £70 per hour for additional digging time.
3.6 Notwithstanding any other provision of these terms and conditions, the Buyer shall, in addition to the Price, pay to the Seller in full and without deduction all additional costs incurred by the Seller by reason of, or arising out of:
3.6.1 any defect in the ground conditions, or any unusual or adverse ground or other conditions affecting the Site
3.6.2 the carrying out of any works required to make the Site suitable for the installation of the Contract Goods.
3.6.3 any failure on the part of the Buyer to afford full co-operation and uninterrupted access to the Site on the due installation date, or to comply with its obligations herein.
4. DELIVERY AND INSTALLATION
4.1 Any time or date specified by the Seller is given and intended as an estimate only and is not of the essence. The Buyer shall not be entitled to rescind the contract by reason of any delay in the delivery of the Contract Goods, nor shall the Seller incur any liability for loss suffered directly or indirectly as a result of failure to make delivery on the specified date.
4.2 The Buyer shall ensure the provision of full and adequate access to the place of delivery, and all other facilities and services necessary to enable the Seller to make delivery and install the Contract Goods in accordance with the Buyer’s requirements.
4.3 The Buyer shall notify the Seller in writing of any loss or damage to the Contract Goods (supply only contracts) within such time as will enable the Seller to comply with the carrier’s conditions relating to loss or damage, or within 3 days of delivery, whichever is the sooner. In the absence of such notice, the Buyer shall be deemed to have accepted the Contract Goods.
4.4 Any date or time given by the Seller for installation or commissioning of the Contract Goods is given as an estimate only and shall not be of the essence of the contract. The Seller shall not be liable for any loss, damage, costs or expenses arising directly or indirectly from any delay in installation or commissioning howsoever caused.
5. RETURN PROCEDURE ON GOODS SUPPLIED ONLY
5.1 A carriage charge and 25% re-stocking charge will apply (excluding VAT).
6.5 Any site visit, delivery or installation attendance that is aborted, delayed or rendered unproductive due to circumstances beyond the reasonable control of the Seller, or due to any act or omission of the Buyer or third parties, shall be chargeable at a daily rate of £350.00 plus VAT.
7. PROPER LAW
7.1 The formation, interpretation and operation of this contract shall be governed by English Law and the Buyer submits to the non exclusive jurisdiction of the English Courts.
8. SELLER’S WARRANTY
8.1 If within a period of twelve months of commissioning the Contract Goods the same require repair or replacement due solely to a fault in the Contract Goods or on account of faulty installation by the Seller, the Seller shall at its own cost repair or replace the Contract Goods provided that:
8.1.1 The Seller’s liability shall be limited to the repair or replacement of the Contract Goods and not further or otherwise; and the Seller will not be liable for any repair or replacement made necessary as a result directly or indirectly of any abuse of the Contract Goods or defect in the Site, or as a result of faulty or incorrect installation by an agent or contractor of the Buyer not approved by the Seller
8.1.2 the Seller shall not be liable in any way whatsoever for any loss, damage or injury caused by accident or by any third party whether trespassers or otherwise.
8.2 The Contract Goods are designed to be a deterrent to unauthorised access, but the Seller gives no warranty that the installation of the Contract Goods will prevent unauthorised access and, save only to the extent that liability cannot lawfully be excluded, the Seller shall not be liable for any loss or damage whatsoever arising out of or as a result of unauthorised access to the Buyer’s property or unauthorised interference with the Contract Goods.
8.3 The Buyer acknowledges that responsibility for the security of the Site and its contents at all times remains with the Buyer, including during any period of delay in delivery, installation, repair or replacement of the Contract Goods.
9. LIMITATION ON DAMAGES
9.1 Save as provided in clause 8.1, the Seller, its agents or subcontractors shall have no liability under the contract for any personal injury, death, loss or damage of any kind whatsoever, whether consequential or otherwise, including but not limited to loss of profits, and so far as the law permits, the Seller hereby excludes all conditions, warranties and stipulations, express or implied, statutory, customary or otherwise, which but for such exclusions might subsist in the Buyer’s favour.
9.2 Neither the Seller, its servants, agents or subcontractors shall be liable for any loss or damage of any kind whatsoever (except arising from death or personal injury) whether consequential or otherwise, caused directly or indirectly by any negligence on the Seller’s part or on the part of any of the Seller’s servants, agents or subcontractors in connection with or arising out of the manufacture, supply or installation of the Contract Goods.
9.3 Without prejudice to any other limitation or exclusion of liability contained in this contract, the Seller’s total aggregate liability to the Buyer arising under or in connection with this contract, whether in contract, tort (including negligence), misrepresentation or otherwise, shall not exceed the Price paid for the Contract Goods.
10. DECORATIVE FINISHES
10.1 The Seller does not undertake, and the quotation does not include, the installation or reinstatement of any decorative finishes such as brick weave or block paving. For tarmac surfaces, the Seller will dye the cement capping black to tone in with the adjacent surface.
11. - SOIL & DRAINAGE CONDITIONS
11.1 Prior to the installation of automatic bollards, SJF UK GROUP LTD will conduct a basic assessment of the soil type and its permeability to determine the ability of water to drain from the bollard housing. If, during or after installation, it is found that water cannot adequately drain away, additional measures such as the installation of a pump may be required to ensure the proper functioning of the bollards. Any additional equipment or work required to address drainage issues will incur extra costs, which will be communicated to the customer prior to proceeding.
11.2 The customer acknowledges and accepts that it is not possible for SJF UK GROUP LTD to conduct a comprehensive drainage assessment prior to the commencement of installation. Accordingly, SJF UK GROUP LTD is not liable for any issues arising from inadequate drainage unless caused by negligence during installation. The customer agrees to bear any additional costs associated with the provision and installation of drainage solutions if required to maintain the operation of the automatic bollards.
12. Automated Gates, Barriers and Bollards
